Jurisdiction : The jurisdiction of activities of the Organisation shall be within the Revenue District of Ernakulam.
Objectives:
To foster fraternity and friendship among the members and their families.
To look after and promote the material, emotional, cultural, social and economic welfare of its members.
To provide a forum through which its members may utilise their talents and experiences for the betterment of the community.
To organise seminars, workshops, meetings, trainings, debates, surveys etc. for the benefits of its members, students, institutions, banks, Government or public.
To acquire, construct, lease, dispose of or deal in any other manner properties (including landed properties) in furtherance of the objectives of the organisation.
To accept donations, grants, contributions, etc. from Govt., other agencies, institutions, banks, individuals or members for undertaking various activities of the Organisation.
To work in liaison or in affiliation with other organisations engaged in similar or identical activities.
To organise projects for the up-liftment of poor and the downtrodden in the general public.
To undertake any other activity or activities as desired by the organisation for the welfare of its members or the community in general.
To give donations to the genuine charitable & philanthropic institutions to be used for the promotion or welfare of the poor people.
This Organisation shall have no discrimination on the basis of Religion, Caste or Sex and it will stand above the limitations of Religion, Caste, Economic status and Political inclinations of its members.
No member of the organisation have any personal claim on any movable/immovable property of the organisation or profit of dividend/ bonus in case of a winding up or liquidation of the organisation and all such assets shall vest with the Government in such contingency.

These Rules and Regulations will be known as the By-Law of Organisation of Retired Bankers in Kochi
These By-Law shall come into force on 11th July 2016 being the date of their adoption by the first General Body Meeting of Organisation of Retired Bankers in Kochi
Membership:
Any Officer who has retired or resigned from any Bank and residing in Ernakulam Revenue District is eligible to become a member of the Organisation.
There shall be only one class of members viz: Ordinary members.
Membership is not transferable.
Any eligible person desirous of becoming a member shall submit his /her application in the prescribed form.
The Governing Council of the Organisation has the absolute right to accept or reject any application without assigning any reason. Every person after admission will be advised of his membership and given a copy of the rules and regulations of
the Organisation.
Membership fees.
Members shall pay an annual subscription of Rs.2000/- or as may be decided by the General Body from time to time.
Admission fee: An admission fee of Rs.100/- per member shall be paid by every member, on admission.
A member shall cease his/her membership on any of the following grounds:
On submitting voluntary resignation, subject to the approval of the Governing Council.
On the Governing Council satisfying itself with 2/3rd majority of the members present and voting that the member has acted against the interests/policies/By-Law of the organisation and minuting such a decision.
In the event of his/her death.
Default of Annual Subscription for more than 6 months from the due date.
However the member can again apply fresh membership after this period and the Governing Council will take decision in the matter .
General Body
The General Body meeting of the organisation will be conducted every year in the month of June and to approve financial statement and discuss organisational matters.
All members whose membership fee is not in arrears shall constitute the General Body of the Organisation.
However all members who have been admitted after the date of issue of the notice for election of Governing Council will not be eligible for voting and contesting in the elections.
At least 40 members or one–fourth of the total members, whichever is less shall be there to constitute the quorum. At least 15 days’ notice in advance should be given to convene the General Body. If for any reason there is no prescribed
quorum for a properly convened General Body, the next meeting shall be held on any subsequent date as decided by the members present, by giving one week’s advance notice, to consider the same agenda fixed for the previous meeting. No quorum for the adjourned meeting is fixed.
Power of General Body
The General Body shall be final authority in all matters relating to the organisation including its governance and administration. Not withstanding its generality of powers, it shall have powers to:
Remove any member of the organiszation from its membership and also to initiate penal action including prosecution against any member who has caused willful damages, loss or worked against the rules and by laws of the organisation.
Elect the governing council members from among the members.
Give directions, advices to the governing council for improving the activities of the organisation/or the welfare of its members.
Approve/adopt the annual reports and statements of receipts and payments and next years’ budget.
Amend/modify or introduce new rules or regulations subject to the approval of not less than 2/3rd of the members present and voting.
Appoint an auditor to audit the accounts of the organisation with or without fee.
Extra Ordinary General Body meeting :
An extra ordinary meeting of the General Body shall be summoned by the General Secretary or by the Governing Council on receipt of a requisition signed by not less than30 members of the General Body stating the purpose for which such a meeting is to be convened. Notice in respect of such a meeting shall be issued not less than 7 days in advance of the meeting to every member of the General Body.
Governing Council: (1)There shall be Governing Council of the Organisation consisting of 25 members elected by the General Body.
They are (a) President (b) Vice Presidents – 2 nos. (c) General Secretary (d) Joint Secretaries-2 (e) Organising Secretary (f) Treasurer (g) Joint Treasurer and (h)16 Council members.
The Governing council may co-opt by a majority decision, additional members subject to a maximum of 5 if and when deemed necessary for the effective functioning of the organization.. The period of Governing Council is two years.
Power of the Governing Council:
Subject to the objectives of the organisation and the specific powers and directions of the General Body, the affairs and activities of the organisation shall be managed by the Governing Council. It may co-opt to fill up the interim vacancies in the Governing Council, appoint committees or sub-committees for specific purposes, invest funds meet any lawful expenses, appoint staff with or without remuneration, arrange periodical audit of account, carryout any activity or programme in pursuance to the objectives of the organisation, approve annual reports and accounts for presenting before General Body, but in no case shall have power to borrow money or incur any liability without specific authorisation of the General Body.
Maximum term of an Office bearer, consecutively in one post, is restricted to 2 terms (i.e four years). However, General Body may relax this condition in exceptional cases.
Amendments to Bye Law: Any member desirous of moving any amendment to the bye-law should submit his proposal to Governing Council at least 10 days before the issue of notice for the General Body meeting. Governing Council may submit such proposal with or without their recommendation to the ensuing General Body for final decision.
Duties of the Office Bearers:
President: The President shall preside over the meeting of the General Body and Governing Council and shall have over all control of the Organisation. His voting right will be exercised in any such meetings only when there is a tie.
Vice-President: He shall perform all duties of the President in the absence of the latter. Governing Council may decide who out of two Vice-Presidents, will perform the duties of President, in the absence of the latter.
General Secretary: Secretary shall be responsible for managing the affairs of the Organisation. He shall convene all meetings, prepare agenda for such meetings in consultation with the President, incur expenditure not exceeding Rs.1000.00 per month, without prior consent of the Governing Council, keep the minutes of the meetings properly recorded, have
custody of all the files and records of the organisation, besides filing mandatory returns of statements to the Government authorities concerned. He is empowered to sue third parties on behalf of the organisation and also represent the organisation in suits against the organisation.
Joint Secretary: He shall perform all the duties of the Secretary in the absence of the latter and also assist him whenever needed.
Treasurer: He shall keep proper accounts/records of all receipts and payments, take and preserve vouchers/bills/receipts for payments, get statements of accounts audited and present such accounts to the Governing Council or General Body as and when needed. He shall remit all receipts to the Bank accounts. For emergency requirements, he may keep a sum of Rs.
1000.00 at a time. He will also be responsible for collection of membership fee and maintenance of proper records for handling of funds, bank accounts etc.
Joint Treasurer: He shall perform all the duties of the Treasurer in the absence of the latter and also assist him in all day to day functioning.
Organising Secretary: He has to assist Governing Council in organizing new projects, follow up of existing projects, projecting image of the organisation and initiate action for enlarging the membership and also perform as liaison officer for the betterment of the Organisation.
Governing Council meeting:
The Governing Council shall meet as often as necessary and in any case at least once in two months. The President or Vice-President is unable to preside over such meetings; any other council members as decided by the majority of the council
members present may chair the meeting and conduct the proceedings. The decision of the Governing Council shall be by majority of votes and the Chairman shall exercise his casting vote in the event of tie. The quorum of the Council meeting shall be EIGHT which should include two non- office bearers also.
No quorum shall be insisted for a Governing Council meeting which had been previously adjourned for want of quorum, provided the previous agenda only is considered in the next meeting. 3 days advance notice should be given for a council
meeting except in exceptional or emergent circumstances.
A member who is not attending the Council meeting continuously for 3 times without valid reasons will cease to be a council member and such interim vacancies will be filled up by the Governing Council by co-option from the members.
Funds: The funds of the organisation shall be deposited in any bank/banks, to be jointly operated by the Treasurer with the President or the Secretary. For petty expenses, Treasurer may keep with him not more than Rs. 1000.00 in cash.
Official Year: The official year of the Organisation shall be from 1st of April to 31st March every year. After close of every such year a Receipt and Payment Statement, Income & Expenditure A/c and Balance Sheet of the previous year shall be prepared and placed before the General Body, after audit and approval by the Governing Council. A report about the past activities of the Organisation as well as any future plans or budget estimates shall also prepared and presented by the Secretary before the General
Body for adoption or otherwise after the Governing Council also approving the same.

Annual Returns to the Registrar: True Copies of Annual Audited financial statement, elected Governing Council Member’s names if any, Bye laws amendment if any certified by 3 Governing Council should be submitted to The District Registrar’s Office, Ernakulam within 14 days from the date of General Body meeting every year.
Miscellaneous:
First General Body shall be convened at least within 18 months from date and thereafter within 12 months of the last meeting.
The Governing Council may nominate a person from the members to act as the Returning Officer for the conduct of such election. He will be provided with a list of members eligible for voting & guidelines for the conduct of the election as decided by the Governing Council.
The election to the first Governing Council will be by consensus.
Dispute : Any dispute, if at all arises shall fall within the jurisdiction of appropriate Courts in the city of Ernakulam only.
Dissolution / winding up : The Organisation shall dissolve /wind up if at least 3/4th of the members pass such a resolution for dissolving/winding up the organisation in the general body convened as per rules, and it shall then either merge /amalgamate with any such similar organisation with the same objectives, registered under the Travancore Cochin Societies Literary, Scientific and Charitable Societies Registration Act 1955 or vest the assets after setting of liabilities if any, to the Govt. of the State.
